Standard Media Delivery
This Agreement assumes that all text is provided by the Client in electronic format (E-mail, CD/DVD/ FTP Upload), all photographs and other graphics are provided in high quality print suitable for scanning and conversion to a gif or jpeg format. Additional expenses may be incurred and will be invoiced accordingly for corrective work and/or conversion of media to a format suitable for the web.

Permission and Copyright
The Client will obtain all the necessary permissions and authorities in respect of the use of all copy, graphic images, atockphotos, registered company logos, names and trademarks or any other supplied material. Every contract for page design and placement shall be regarded as a guarantee by the Client to Joann's Graphics that all such permissions and authorities have been obtained. Evidence of permissions and authorities may be requested.

Access Requirements
In order to install the design in question, Joann's Graphics must be granted read/write access to the Client's web hosting account; those directories must be accessible via FTP. Depending on the project, other resources might have to be configured on the server end (for scripts, etc.).

Payment Terms
All designing/advertising/hosting/maintenance fees are/shall be payable in advance prior to having the site being officially placed on the World Wide Web or as outlined in your website contract. Rates and services are subject to change without prior written notice. Payments can be made by credit card through PayPal or by company check.

Refunds
All sales are final. No refunds will be given once hosting has been setup (if applicable) and/or the design process has begun on the website layout and graphics.

Acceptance of Terms and Conditions
The placement of an order or contract for the authoring or placement of pages with Wicked Web Design will be regarded as an acceptance of all the above terms and conditions. Orders may be placed, in the first instance, by telephone or e-mail and must be confirmed in writing by e-mail or by fax.

Customer Review
Joann's Graphics will provide the Client with an opportunity to review the appearance and content of the Client's website once it is completed. A three week window will be available to make minor changes, corrections and adjustment to the content, images and layout. After this time period has elapse, any additional changes, corrections or modifications will be done at our hourly rate of $30 pr hour.

Turnaround Time
Joann's Graphics will install and publicly post the Client's material within 24 to 48 hours of the date payment is received, unless otherwise notified by the Client.

Limitation of Liability
The Client expressly understands and agrees that Joann's Graphics shall not be liable to the Client for any business loss, revenues decrease, expenses increase, costs of substitute products/services, or for any consequential, special, incidental, punitive or indirect damages of any kind arising out of the use of, or inability to use, any of Joann's Graphics's services, even if Joann's Graphics has been advised of the possibility of such damages. In no event shall Joann's Graphics's liability exceed the fee paid by the Client.

The Client accepts that Joann's Graphics is in no way responsible for down time either resulting from a users actions, or natural fluctuations in Internet consistency. Joann's Graphics will, however, do everything within it's power to ensure that each and every client site is up as consistently as possible.

Indemnity
The Client agrees to indemnify and hold Joann's Graphics, its Executives, Directors, Officers, Managers, Employees, Consultants and Agents, harmless from any claims, including legal fees, resulting from the Client receiving Joann's Graphics services which cause direct or indirect damage to another party.

Termination of Service
The Client may terminate his/her hosting account at any time by contacting Joann's Graphics. The client agrees that any fees paid in advance are non-refundable. If the account is in arrears, any outstanding fees must be paid in full. Where the Client terminates the account within 10 days of its being initially set up, Joann's Graphics will give a full refund. Joann's Graphics reserves the right to terminate any account in the event of violation of these terms of service. In the event of any misuse of services, any fees paid in advance are non-refundable.

When an account has been terminated, whether by the Client or by Joann's Graphics, all data held on the servers (web content, e-mail, databases, etc.) will be permanently deleted. The Client accepts sole responsibility for having maintained sufficient off-line backups and to have downloaded all e-mail and data from the server prior to termination of services. The website content and design can be email to the client if they need to transfer their website to another web host. Furthermore, in cases where Joann's Graphics registered the Client's domain name and the Client's account is in arrears, the domain name will become the property of Joann's Graphics under payment is overdue payments are received. The aforementioned terms on Limitation of Liability and Indemnity apply to the loss of all such data and/or domain name.
